Terms of Service

These Terms of Service ("Terms") govern access to and use of OnPromptAds Brands at https://brands.onpromptads.com/, operated by MrX Innovation Lab Pvt Ltd ("we", "us", "our"). By creating an account, accessing the Service, or connecting third-party platforms, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

You must be at least 18 years old and authorized to bind your organization. You represent that information you provide is accurate and that you have the rights to connect any Facebook Pages, Instagram accounts, ad accounts, or other assets you link to the Service.

Access is organized by organization. Organization administrators control member invitations, roles, and brand workspaces. You are responsible for safeguarding login credentials and for all activity under your account.

OnPromptAds Brands provides governed prompt libraries, AI-powered content generation, social media management (including Meta Facebook and Instagram publishing, scheduling, inbox, and analytics), and Meta Ads campaign tools for marketing teams. Features may change over time. Beta or preview features are provided "as is" without warranty.

Certain features require connecting third-party accounts. Your use of Meta, Google, and other platforms is subject to their respective terms and policies. You grant us permission to access and process data from connected accounts solely to provide the Service features you enable.

You are responsible for compliance with Meta Advertising Policies, Community Standards, Instagram Platform Policy, and applicable advertising laws in your jurisdiction when publishing content or running ads through the Service.

You agree not to misuse the Service. Prohibited conduct includes spam, harassment, illegal content, infringement of intellectual property, unauthorized access attempts, reverse engineering, reselling access without authorization, and using the Service to violate platform policies or applicable law. You retain ownership of content you upload or create. You grant us a limited license to host, process, display, and transmit your content as necessary to operate the Service, including publishing to connected social accounts and generating AI outputs at your direction.

We retain ownership of the Service, software, documentation, and branding. Prompt templates provided by OnPromptAds or third parties may be subject to separate license terms.

AI outputs may be inaccurate, incomplete, or unsuitable for your use case. You are solely responsible for reviewing, editing, and approving all content before publication or use in advertising. We do not guarantee that AI outputs comply with platform policies, trademark law, or advertising regulations.

Paid plans are billed according to the pricing shown at https://brands.onpromptads.com/pricing/ or your enterprise agreement. Fees are non-refundable except where required by law or stated in your contract. We may change pricing with notice for renewal periods.

We may suspend or terminate access for violation of these Terms, non-payment, security risks, or legal requirements. You may cancel at any time. Upon termination, your right to use the Service ends. Data deletion is handled per our Privacy Policy and Data Deletion instructions.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MRX INNOVATION LAB PVT LTD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

You agree to indemnify and hold harmless us and our officers, directors, employees, and agents from claims arising from your content, your use of connected platforms, violation of these Terms, or violation of third-party rights.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction, subject to mandatory consumer protections in your jurisdiction.
